FOR IMMEDIATE RELEASE

10 June 2003

Oklahoma City, OK––Breathing Disorders Services, Inc. (BDS), a national home medical equipment provider with headquarters in Oklahoma City, has announced an equity partnership with Council Oak, a private Oklahoma City equity firm. Council Oak, which invests solely in successful Oklahoma-owned businesses, will provide capital for BDS’s continued national expansion. BDS, with established stores in Oklahoma, Texas, Virginia, Colorado, California, North Carolina and Arizona, will add at least six more stores over the next 12 months.

BDS stores provide in-home nasal continuous positive airway pressure (CPAP) equipment and support to persons diagnosed with obstructive sleep apnea (OSA) syndrome. OSA is a disorder in which a person repeatedly stops breathing during sleep. It can occur when muscles that control the tongue and soft palate relax and allow the upper airway to narrow or even become blocked. CPAP equipment delivers mildly pressurized air through a small nose mask, keeping the airway open. In most cases, CPAP therapy resolves OSA immediately, without the need for drugs or surgery.

Recent medical studies have established a direct correlation between certain sleep disorders, particularly OSA, and cardiovascular problems such as hypertension, stroke, coronary artery disease, myocardial infarction, pulmonary hypertension and congestive heart failure.

In addition to CPAP equipment, BDS offices offer bi-level therapy, oxygen therapy, nebulizers and other forms of in-home aids for allergy and asthma sufferers.

“We are delighted to have Council Oak as our newest partner as we execute our plan for expanding across the nation,” said an official company spokesperson from BDS. “With an estimated 40 million Americans suffering from sleep disorders, we are now in excellent position to meet the growing demand for our therapeutic services.”

According to William O. Johnstone, chairman and CEO of Council Oak, BDS is an ideal target for the merchant bank’s capital investment. “BDS is profitable and well-managed, with a proven concept. They are already successful and capable of applying our contribution to their national roll-out. Their unique business strategy has demonstrated high patient compliance levels through education, coupled with life-long monitoring and support. In addition, BDS is one of a handful of companies nationwide with such excellent experience and expertise in this field.”
